Terms and Conditions of Use

1. General

  1. This CloudCfo website is owned and operated by CloudCfo Inc., a company incorporated under the laws of the Philippines with the registered business address of 2F Paragon Plaza, 162 EDSA cor. Reliance Street, Mandaluyong, Metro Manila (“CloudCfo”).
  2. These Terms and Conditions of Use (the “Terms”) apply to the Website located at www.cloudcfo.ph and all associated CloudCfo website pages using the www.cloudcfo.ph domain (collectively, the “Website”).
  3. The Website provides information which relates to the services provided by CloudCfo, namely, the provision of accounting, bookkeeping, payroll and other finance-related services to businesses in the Philippines and globally.
  4. CloudCfo does not charge any fee for the use of this Website.
  5. CloudCfo maintains this Website as a service for users of and visitors to the Website (“Visitors” or “You” or “Your”), subject always to these Terms which concern the use of this Website.

2. Website Ownership and User Agreement

  1. This Website and all information contained on the Website is the property of and owned solely by CloudCfo.
  2. Use of the Website by each Visitor is strictly subject to and governed by these Terms.
  3. By using, visiting or conducting any type of activity on this Website, or on any part of this Website, you consent and agree to act in accordance with and be bound by these Terms.
  4. It is the responsibility of Visitors to check these Terms periodically for changes. Continued use of the Website following the implementation of changes by CloudCfo will mean that the Visitor accepts and agrees to such changes.
  5. CloudCfo reserves the right, at all times, without notice and for any reason, to change, suspend or terminate the operation of or access to this Website, or any part of the Website and to interrupt the functionality of the Website as required for any updates, maintenance, upgrades, website rectifications or any other form of work deemed necessary by CloudCfo.
  6. Failure to adhere to these Terms constitutes a breach and Visitors will be required to cease all activity relating to this Website and refrain from any further or future access. You agree that if your access to this Website is ceased, this is not a waiver and you shall not be released from any liabilities you may have to CloudCfo which may have arisen prior to your access ceasing.

  1. Use of this Website by each Visitor shall solely be in connection with their legitimate interest in CloudCfo and/or the services, information and/or content provided by CloudCfo.
  2. Visitors may not use the Website or information or content on the Website for any purpose that is unlawful or prohibited by these Terms, such prohibition includes the soliciting of any illegal activity or other activity which infringes upon the rights of CloudCfo or any other third party.
  3. In this regard, Visitors are strictly prohibited and restricted from using this Website for any of the following reasons and/or activities:
    1. Copying, distributing or using any information on the Website for any commercial or personal reasons other than in connection with a legitimate interest in CloudCfo and/or the services or information it provides;
    2. For any illegal, fraudulent or criminal activities, whether deliberate or incidental;
    3. Gaining or trying to gain unauthorized access to any part or feature of the Website, or any other systems, servers or networks connected to the Website, or to any of services offered via the Website, by means of hacking, access mining or any other illegitimate methods of gaining access.

    6. Copying, replicating and/or using in any way any trademarks, logos, images, graphics, text, designs, layouts or any other form of proprietary data from the Website;

    8. Interfering with the proper functioning of the site via any means available or any form of activity;
    9. Using any device, algorithm or software to interfere, interrupt or attempt to interfere or interrupt with the proper working of the Website or any transaction being conducted on the Website.

    12. Interfering with or disrupting the Website service and/or the services provided by CloudCfo, whether deliberate or incidental;

    14. Probing, scanning or testing the vulnerability of the Website or any network or server connected to the Website, or breaching or attempting to breach the security or authentication mechanisms on the Website.
    15. Soliciting employees, officers, directors or customers from CloudCfo or any of its group companies.
    16. Misrepresenting your identity or credentials through the provision of false or misleading information.
    17. Any use or activity which contravenes any laws, regulations or statutes in any applicable jurisdictions or which contravenes any rights (e.g. property, civil, privacy, etc) of any Visitor or third party of any kind.

  6. CloudCfo may, from time to time, publish guest postings, advertisements or marketing materials on behalf of CloudCfo partners or third party connections. CloudCfo will not be responsible or liable in any way for the information contained in any such guest postings or advertisements.

7. Liability

  1. In no event shall CloudCfo be liable for any incidental, special, consequential or indirect damages, losses or loss of profits of any kind, or any damages whatsoever (including if CloudCfo has been advised of the possibility of such damages), including, without limitation, those resulting from any loss of use, data or profits, arising out of or in connection with the use or performance of this Website or the information or content contained on this Website.
  2. While CloudCfo takes every precaution to ensure that the information contained on this Website is correct and accurate and will seek to remedy any errors or omissions as soon as practicable after it has been made aware of any such errors/omissions. However, CloudCfo shall have no responsibility or liability for any errors, omissions or inaccuracies in the content, information, or software either contained on this Website or linked to or from this website.
  3. CloudCfo shall not be liable or responsible for any adverse consequences arising from a Visitor’s reliance or use of a website that is linked to or from this Website.

12. Miscellaneous

  1. These Terms shall be governed by and interpreted in accordance with the laws of the Philippines and any disputes arising shall be subject to the exclusive jurisdiction of the courts in Metro Manila, Philippines.
  2. Clause headings are for ease of reference only and shall not affect the interpretation of these Terms.
  3. In the event that any of the terms in these Terms are held or deemed to be invalid, illegal or otherwise unenforceable, wholly or in part, by a judge or court of competent authority, such term(s) shall be severed and deleted from the relevant provision and the remaining terms shall survive, remain in full force and effect and continue to be binding and enforceable.
